These Terms of Use (“Terms”) govern access to and use of the ABN Genesis website and platform (“Genesis”), a product of ABNO Softwares International Ltd, a company established in 2004 and headquartered in Kenya.
By accessing the website, booking a Compliance Risk Review, requesting a demo, or using the Genesis platform, you agree to be bound by these Terms.
If you do not agree, you must not use the website or platform.
1. About ABN Genesis
ABN Genesis is a compliance-focused Enterprise Resource Planning (ERP) system integrating Payroll, HR, Finance and Operational modules for organizations.
Genesis is designed for business and institutional use. It is not intended for personal, household or consumer use.
2. Eligibility
You must:
- Be at least 18 years of age;
- Have authority to represent your organization; and
- Use the platform for lawful business purposes.
By submitting forms or using Genesis, you confirm that you meet these requirements.
3. Use of the Website
You may use the Genesis website to:
- Learn about the product
- Request a Compliance Risk Review
- Request demonstrations
- Access informational resources
You agree not to:
- Attempt unauthorized access to systems;
- Interfere with website functionality;
- Transmit malicious code;
- Use the site for fraudulent or unlawful purposes.
4. Platform Access and Accounts
Access to the Genesis platform is governed by signed service agreements between ABNO Softwares International Ltd and client organizations.
Authorized users must:
- Maintain the confidentiality of login credentials;
- Use role-based access responsibly;
- Report suspected security incidents promptly.
Client organizations are responsible for managing internal user access rights.
5. Service Agreements
Use of the Genesis ERP platform is subject to:
- A signed contract or service agreement;
- Applicable Statements of Work (SOWs);
- Service Level Agreements (SLAs);
- Data Processing Agreements (where applicable).
In the event of conflict between these Terms and a signed contract, the signed contract shall prevail.
6. Intellectual Property
All intellectual property rights in Genesis, including software, documentation, design, trademarks and content, are owned by ABNO Softwares International Ltd unless otherwise stated.
Clients are granted a limited, non-exclusive, non-transferable license to use Genesis in accordance with contractual agreements.
You may not:
- Reverse engineer, decompile or copy the software;
- Resell or redistribute the platform without authorization;
- Remove proprietary notices.
7. Data Responsibility
Client organizations remain the data controllers of their organizational data processed within Genesis.
ABNO Softwares International Ltd acts as a data processor under applicable data protection laws and contractual agreements.
Clients are responsible for ensuring they have lawful authority to upload and process employee and business data.
8. Confidentiality
Information exchanged during Compliance Risk Reviews, demos or implementation engagements is treated as confidential unless otherwise agreed in writing.
Both parties agree not to disclose confidential information without consent except where required by law.
9. Disclaimers
The Genesis website content is provided for informational purposes only.
While we strive for accuracy, we do not warrant that website content is error-free or uninterrupted.
Platform availability and performance commitments are governed by signed SLAs.
10. Limitation of Liability
To the maximum extent permitted by law:
- ABNO Softwares International Ltd shall not be liable for indirect, incidental or consequential damages arising from use of the website.
- Platform-related liabilities are governed by signed contractual agreements.
Nothing in these Terms excludes liability that cannot be excluded under applicable law.
11. Termination
We reserve the right to restrict or terminate website access for users who violate these Terms.
Platform termination rights are governed by signed service agreements.
12. Governing Law
These Terms are governed by the laws of the Republic of Kenya.
Any disputes shall be subject to the jurisdiction of Kenyan courts unless otherwise agreed in writing.
13. Changes to These Terms
We may update these Terms periodically. Updated versions will be posted on this page with a revised “Last Updated” date.
Continued use of the website or platform constitutes acceptance of revised Terms.
